Terms of service

These terms apply when you engage Nayanta to run outbound email on your behalf. Nayanta is run by Shubhangan Das. Questions: shubhangan@usenayanta.com.
The service
We build and run a managed outbound email channel for you: defining the target audience, building prospect lists, setting up separate sending domains and inboxes, writing and sending campaigns, handling replies, booking meetings into your calendar, and reporting on what happened. The exact scope for your engagement is what we agree in writing before we start.
Fees and payment
- The first month is $1,000 and covers strategy, setup, research, copywriting and launch.
- Each month after is $1,500.
- Fees are in USD and payable in advance. Work starts once the first payment clears.
- Fees don't include third-party costs you choose to add, such as extra sending domains or premium data sources. We'll agree any of those with you first.
Term and cancellation
The engagement runs month to month. Either of us can end it with 30 days' written notice, effective at the end of the current paid month. Fees already paid aren't refundable, but we'll finish the month you've paid for. On cancellation we hand over your prospect lists, campaign copy and reporting, and stop sending on your behalf.
What we need from you
- Accurate information about your business, your offer and your pricing.
- Sign-off on campaign copy before it goes out.
- A working calendar booking link, kept reasonably available.
- Timely answers when a prospect asks something only you can answer.
You're responsible for the accuracy of any claim you ask us to make about your business, and for what happens on the calls we book.
How we send
We contact people in their business capacity, with a reason connected to their role, an honest sender identity and a working opt-out that we honour. We won't send on your behalf for anything unlawful, deceptive, or in a category we consider off-limits — including adult content, gambling, weapons, unregulated financial or health claims, and anything designed to mislead the recipient. If a campaign you ask for would cross that line, we'll say so and decline it.
Results
Meeting volume depends on your market, offer, audience and how campaigns perform. We'll agree in writing what counts as a qualified meeting before launch, and we'll tell you honestly how things are going. We don't guarantee a specific number of meetings, replies or clients, and nothing on our website is a guarantee of results.
Data protection
Each of us is responsible for the personal data we control. Where we process prospect data to run campaigns for you, we do so on your instructions and in line with our privacy policy. We keep suppression and opt-out lists and apply them across campaigns. You'll let us know promptly if someone contacts you directly asking to be removed.
Confidentiality
Neither of us will share the other's non-public information — client lists, pricing, campaign performance, commercial plans — outside what's needed to do the work. This continues after the engagement ends. We won't name you as a client publicly without your say-so.
Ownership
You own your brand, your offer and the content you give us. You own the prospect lists and campaign copy produced for your engagement, and we hand them over when it ends. We keep ownership of our own templates, processes and internal tooling, and we're free to use the general know-how we build along the way.
Sending domains
We set up separate domains for outbound so your main domain is never used for cold email. Unless we agree otherwise in writing, those domains are registered for your engagement and transfer to you on request when it ends, at your cost.
Liability
Neither of us is liable for indirect or consequential losses, including lost profits or lost business. Our total liability for any claim connected to the service is capped at the fees you paid us in the three months before the claim arose. Nothing here limits liability that can't be limited by law.
Changes to these terms
We may update these terms. If a change affects an active engagement, we'll tell you before it applies to you, and you can cancel under the notice above if you don't accept it.
Governing law
These terms are governed by the laws of India, and the courts of India have exclusive jurisdiction over any dispute. Before going to court, we'll both make a genuine attempt to sort things out by email or on a call.
